Terms of Service

These Terms govern your access to MenuMeter and explain the subscription, license, data, and service conditions that apply to your account.

Effective September 1, 2026

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and MenuMeter (“MenuMeter,” “we,” “us,” or “our”) governing your access to and use of the MenuMeter websites, applications, analytics, recommendations, and related services (collectively, the “Service”).

By creating an account or otherwise affirmatively accepting these Terms, you agree to these Terms and the Acceptable Use Policy. If you create or use an account for a restaurant, company, or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not create an account or use the Service.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a contract. You must provide accurate account information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account and for ensuring that authorized users comply with these Terms.

3. The Service and advisory results

MenuMeter helps restaurant operators organize menu, recipe, supplier-cost, and sales information and generate estimates, analytics, scenarios, and suggested actions. Results may be produced using automated systems and artificial intelligence. They depend on the completeness and accuracy of the information you provide and may contain errors, omissions, or assumptions.

The Service is a decision-support tool, not accounting, tax, legal, food-safety, financial, or other professional advice. You are responsible for reviewing outputs and for all pricing, purchasing, staffing, allergen, food-safety, and operational decisions. MenuMeter does not guarantee revenue, profit, cost savings, customer demand, or any particular business result.

4. Subscription, free trial, and billing

Free trial

Eligible new customers may receive a seven-day free trial. Unless you cancel before the trial ends, the subscription automatically converts to the paid plan and billing interval shown at checkout, and the payment method you supplied will be charged. Trial eligibility may be limited to one trial per customer, restaurant, payment method, or related group of accounts.

Recurring subscription

Subscriptions renew automatically at the end of each monthly or annual billing period until canceled. Before you subscribe, checkout will display the price, billing frequency, trial end date, renewal terms, and available cancellation method. Taxes may be added where required. Payments are processed by Stripe and are also subject to Stripe's applicable terms.

Cancellation

You may cancel at any time through the billing portal available in your account. Cancellation stops future renewals and normally takes effect at the end of the current paid billing period; you retain access until then. Except where required by law or expressly stated otherwise at checkout, charges already paid are non-refundable and we do not provide prorated refunds or credits for partial periods.

Price changes and failed payments

We may change future subscription prices by providing advance notice. A price change applies no earlier than your next renewal after the notice period described in that notice. Promotional or founding-member pricing may have separate eligibility conditions disclosed with the offer. If payment fails, we may retry the charge, suspend access, or cancel the subscription after providing any notice required by law.

5. Limited license

Subject to these Terms and payment of applicable fees, MenuMeter grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during your subscription to access and use the Service for your internal restaurant business purposes. The Service is licensed, not sold. No ownership interest in MenuMeter or its technology is transferred to you.

6. MenuMeter intellectual property

MenuMeter and its licensors retain all rights, title, and interest in the Service and its software, source and object code, models and logic, selection and arrangement of features, original visual designs and interface elements, documentation, text, graphics, logos, and other content, together with all associated intellectual-property rights.

“MenuMeter,” its logos, and related brand identifiers are trademarks or trade dress of MenuMeter. You may not use them in a manner likely to imply affiliation, sponsorship, or endorsement without written permission. Except where applicable law does not permit a restriction, you may not copy, reproduce, distribute, sell, license, frame, mirror, scrape, reverse engineer, decompile, disassemble, attempt to derive source code or non-public algorithms, create derivative works from, or use the Service to build or train a competing product. You may not remove proprietary notices or systematically replicate the Service's original interface, content, or organization.

These contractual restrictions do not claim ownership over ideas, methods, or material that applicable intellectual-property law leaves unprotected, and they do not limit rights that cannot lawfully be waived.

7. Your data

You retain ownership of menu files, recipes, ingredient and supplier information, sales reports, and other content you submit (“Customer Data”). You grant MenuMeter a non-exclusive, worldwide license to host, copy, process, transmit, and display Customer Data only as reasonably necessary to provide, secure, support, and improve the Service and to comply with law.

You represent that you have the rights and permissions needed to provide Customer Data and permit this processing. You must not submit payment-card data, government identification numbers, protected health information, or other sensitive personal information unless the Service expressly requests it. You are responsible for maintaining source copies of important data and reports.

8. Feedback

If you provide suggestions or feedback about MenuMeter, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.

9. Third-party services

The Service relies on or links to third-party services, including hosting, authentication, payment, database, and artificial-intelligence providers. Their services and terms are outside our control. We are not responsible for third-party products, outages, changes, or content, but this does not limit obligations that applicable law places on us.

10. Suspension and termination

You may stop using the Service at any time and may cancel your subscription as described above. We may suspend or terminate access if you materially breach these Terms or the Acceptable Use Policy, create security or legal risk, fail to pay applicable charges, or use the Service in a way that could harm MenuMeter, its providers, or other users. Where reasonable, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination—including intellectual property, payment obligations, disclaimers, and liability limitations—will survive.

11. Service changes and availability

We may modify, update, or discontinue features. We do not promise uninterrupted or error-free availability. We will use commercially reasonable efforts to avoid materially reducing paid functionality during a current billing period and to provide notice of significant changes when practicable.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MENUMETER DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUMETER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUMETER'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MENUMETER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

14. Changes to these Terms

We may update these Terms. If a change materially affects your rights or obligations, we will provide reasonable advance notice through the Service, email, or another appropriate channel. The notice will identify when the updated Terms take effect. If required by law, we will request renewed affirmative consent. Continued use after the effective date constitutes acceptance where permitted by law.

15. General terms

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. These Terms and incorporated policies are the entire agreement regarding the Service and supersede prior agreements on that subject.
